Landlord won't give a NOC for GST registration? What you can use instead

You often do not need one. Under CBIC Instruction No. 03/2025-GST, a tenant with a rent agreement uploads the agreement plus one ownership document of the landlord, such as a property tax receipt or electricity bill. A consent letter (NOC) is needed only when there is no agreement and you rely on the owner's permission.

When is a landlord NOC actually needed for GST registration?

In FORM GST REG-01 you prove that you can lawfully use your principal place of business. CBIC Instruction No. 03/2025-GST (April 2025) lists what officers should accept, and a consent letter appears only in some situations:

Your situationWhat you uploadNOC needed?
Rented, registered rent agreementThe agreement plus one ownership document of the landlordNo
Rented, unregistered rent agreementThe same, plus the landlord's identity proofNo
Rented, electricity or water connection in your own nameThe agreement plus that billNo
Rented, no written agreementAn affidavit on non-judicial stamp paper plus a document in your name showing possession, such as an electricity billNo
Owned by a relative or someone else who lets you use itConsent letter, the owner's identity proof and one ownership documentYes, this is the consent route
Shared premises without an agreementConsent letter route as aboveYes

So the usual tenant, with a rent agreement, does not need a separate NOC. The instruction also says officers should not ask for documents beyond this list without approval from a Deputy or Assistant Commissioner.

What can you upload if you have a rent agreement?

Upload the agreement and one document that shows the landlord owns the property: the latest property tax receipt, a municipal khata copy, or the electricity bill in the landlord's name. Many tenants already hold the landlord's electricity bill because they pay it. If the agreement is unregistered, add a copy of the landlord's identity proof.

The instruction is specific about what officers should not demand: the landlord's PAN, Aadhaar or a photograph of the landlord at the property, or the landlord's identity proof when the agreement is registered or the utility connection is in your name.

What if you have no rent agreement at all?

You can file an affidavit saying so, on non-judicial stamp paper of the minimum value, sworn before a First-Class Judicial Magistrate, an Executive Magistrate or a Notary Public. Attach a document that shows you occupy the place, such as an electricity bill in your name. This route exists for informal tenancies, but it gives the officer less to rely on, so make sure the address and names match exactly.

What if your rent agreement bans business use?

A GST officer checks your documents, not your lease terms, but the landlord can treat business use as a breach of the agreement. For an online seller working from a flat this is usually low-impact activity, yet a dispute could end the tenancy and leave your registered address invalid. Ask the landlord to amend the clause, or use a different address you control.

Why do landlords refuse, and how can you reassure them?

  • "I will have to pay GST on the rent." In the common cases, GST on rent paid by a GST-registered tenant is paid by the tenant under reverse charge, not by the landlord. Some situations are exempt. Ask your CA how it applies to your lease before you discuss it.
  • "The property tax or electricity tariff will change." Registering for GST does not by itself change the property's municipal category. Running a shop or warehouse from it might.
  • "You will claim rights over my property." A GST registration gives no ownership or tenancy rights. If you do need a consent letter, keep it short: name the premises, say it is for GST registration of your business, and state the period it covers.

What other addresses can you use?

  • A home owned by a parent, spouse or other family member, with their consent letter, identity proof and one ownership document. The owner does not have to be a relative; any owner who consents can sign.
  • A co-working desk with an agreement in your name and the operator's ownership or lease proof.
  • A virtual office, which is legal but attracts the most questions. Read virtual office and GST registration first.
  • A marketplace warehouse in another state, under Rule 14B from 1 November 2026, if you are already registered in one state and meet its conditions. The virtual office guide explains it.

What should you never do?

  • Sign the landlord's name on a consent letter or alter an old NOC. A forged document can lead to rejection, cancellation and criminal liability.
  • Register using someone else's identity or address to get around the problem.
  • Declare an address where you cannot be found. If an officer visits and finds no business there, Rule 21 lets the registration be cancelled.

Will a GST officer visit your rented address?

Under the same instruction, a clean application that is not flagged as risky should be approved within 7 working days. Physical verification, with a decision within 30 days, applies if Aadhaar authentication was not done, if the application is flagged as risky, or if a senior officer approves a visit. Since 1 November 2025, applicants who expect their monthly output tax on supplies to registered buyers to stay within ₹2.5 lakh can opt for the Rule 14A route, which aims at approval within 3 working days. Biometric Aadhaar checks at a GST Suvidha Kendra are also being applied more widely, so check the portal when you apply.

What we'd check in your case

  • Whether your agreement is registered, unregistered or missing, and which upload route that gives you.
  • Which ownership document the landlord already has, and whose name is on the electricity bill.
  • Whether the lease allows business use, and whether you also store stock there.
  • Whether a family-owned address is a cleaner option for your principal place of business.
  • Whether you plan to sell through marketplaces from more than one state.

Related questions

Is a NOC compulsory for GST registration on rented property?

No, not when you have a rent agreement. CBIC Instruction 03/2025-GST accepts the agreement plus one ownership document of the landlord. A consent letter is used when there is no agreement and the owner simply permits you to use the premises.

Can I register for GST without a rent agreement?

Yes. You can upload an affidavit on non-judicial stamp paper stating there is no agreement, sworn before a magistrate or notary, together with a document in your name that shows possession, such as an electricity bill.

Can the GST officer ask for my landlord's PAN or Aadhaar?

The instruction says officers should not ask for the landlord's PAN, Aadhaar or photograph. If the agreement is unregistered, the landlord's identity proof is part of the standard upload.

Does my landlord have to pay GST if I register at his property?

Usually not. Where GST applies to rent paid by a registered tenant, the tenant generally pays it under reverse charge. Some cases are exempt, so confirm the position for your lease with a CA.

What happens if my landlord withdraws consent after registration?

Your principal place of business must stay valid. Move to a new address and file an amendment on the GST portal, because not conducting business from the declared place is a ground for cancellation.
