Documents required for company registration in India (Pvt Ltd, LLP, OPC, proprietorship)

For a Pvt Ltd, LLP or OPC you need PAN, identity and address proof (address proof dated within two months), a photo and a digital signature certificate for each director or partner, plus registered office proof: a rent agreement or ownership document, a recent utility bill and an owner's NOC. A proprietorship has no incorporation, so you only need the proprietor's PAN and Aadhaar plus what GST, Udyam and the bank ask for.

If you are comparing structures first, our Pvt Ltd vs LLP vs OPC vs proprietorship comparison covers that. This page only covers the paperwork. The documents are broadly the same across a company, an OPC and an LLP. A proprietorship is the odd one out, because there is nothing to incorporate.

What documents are required for private limited company registration?

A Pvt Ltd company is incorporated on the MCA portal through the SPICe+ form (INC-32). It has two parts. Part A reserves the name (you can propose two). Part B is the incorporation itself: registered office, capital, directors, subscribers and attachments. A name reserved through SPICe+ Part A is valid for 20 days, so have your documents ready before you start Part A.

Linked forms are filed along with Part B:

  • e-MoA (INC-33) and e-AoA (INC-34): the Memorandum and Articles, filled on the portal and digitally signed by the subscribers and a witness. Articles can adopt the standard Table F.
  • AGILE-PRO-S (INC-35): a linked form that carries registrations such as GSTIN, EPFO, ESIC and a company bank account request (professional tax and shops registration only in specific states). Its data comes from SPICe+, so directors' details must match exactly.
  • INC-9 and DIR-2: the subscriber/director declaration and each director's consent to act.

For every director and subscriber you will need:

  • PAN (mandatory for Indian residents).
  • Identity proof: Aadhaar, passport, voter ID or driving licence.
  • Residential address proof: a bank statement, utility bill or similar, dated within the last two months.
  • A recent passport-size photograph, plus email and mobile number.
  • A Class 3 digital signature certificate (DSC) for each proposed director (and for the professional who certifies the form).

DIN: you do not apply for it separately. Directors without a DIN can get one inside SPICe+ (reported limit: up to three new DINs; further directors need a separate DIR-3 filing after incorporation).

What counts as registered office proof?

Whatever the structure, you must show where the registered office is.

  • Rented premises: a rent or lease agreement, a no-objection certificate (NOC) from the owner, and the owner's recent utility bill (electricity, gas, water or landline).
  • Owned premises: sale deed or property tax receipt, plus a recent utility bill.
  • Family or friend's property: a signed NOC from the owner, with the owner's utility bill and ownership proof.

The utility bill should be no older than two months. A home address can usually be used as a registered office, but check the lease or society rules if a commercial use is restricted.

What documents are needed for LLP registration?

An LLP is formed through FiLLiP (Form for Incorporation of LLP). Name approval comes first through RUN-LLP. Each designated partner needs a DIN or DPIN; partners without one can apply for it as part of FiLLiP. Partner KYC and registered office proof are the same as above. In addition you will need:

  • A subscriber's sheet signed by all partners.
  • A DSC of at least one designated partner, and a professional (CA, CS, CMA or advocate) to certify the form.
  • If a partner is itself a company or LLP, a board resolution authorising it.

The LLP agreement is filed afterwards in Form 3 within 30 days of incorporation (the MCA site says this). Draft the agreement while the incorporation is pending so you do not miss that date.

What documents does an OPC (One Person Company) need?

An OPC follows the SPICe+ route, with one member-director and one nominee. The nominee needs the same PAN, identity and address proof as the member, and gives written consent (Form INC-3) to step in if the member dies or becomes incapacitated. An Indian citizen can form an OPC whether resident in India or not. See the business registration page if you want us to assess whether an OPC suits your seller account.

What extra documents do NRI or foreign directors need?

A passport is mandatory. Address proof from the home country usually has to be notarised and apostilled (or consularised, depending on the country), and a DSC is still needed. At least one director must be resident in India. Foreign investment into the company brings RBI reporting on top, which is a separate exercise.

What documents does a proprietorship need?

A proprietorship has no MCA filing, no MoA, no DIN. The proprietor's PAN is the business PAN. What you register depends on what you need:

  • GST: proprietor photo, PAN, Aadhaar authentication, bank account proof, and proof of the business address (utility bill, rent agreement or owner's consent letter). See GST registration. Marketplace sellers usually need this.
  • Udyam: free, paperless self-declaration using Aadhaar, PAN and GSTIN; no documents are uploaded.
  • Bank current account: banks decide. Usually PAN, Aadhaar, address proof, and a GST or Udyam certificate or shop licence as proof of the business name.

Which document mistakes delay MCA approval?

  • Name mismatch between PAN and Aadhaar. Initials, spelling or a missing middle name differ across documents. Fix the record with the issuer first.
  • Old utility bill. A bill older than two months for the registered office or the director's address will be sent back. Use a fresh one.
  • Unsigned or unclear NOC. The owner must sign it, and it should name the company or LLP and the full address.
  • Different addresses across forms. The address in SPICe+ must match the proof, and AGILE-PRO-S must match SPICe+.
  • DSC problems. The PAN or name on the DSC differs from the form, or the DSC is not registered on the MCA portal.
  • Rent agreement with no stamp or missing page. Stamp rules differ by state.

What we'd check in your case

Before collecting anything, we look at who is signing, where the office will be, and whether you actually need a company yet. If you are a small seller on Amazon or Flipkart, a proprietorship with GST may be enough for now. Our GST registration page covers what marketplaces usually ask for. Then we send a written list of exactly the documents you need and flag any mismatch before filing.

If you tell us your structure and state on WhatsApp, we will reply with a fixed written quote and a document list for your case.

Not sure how this applies to you? Tell us what you sell and where. We'll tell you what you need, and what you don't, in a free 15-minute fit check.

Related questions

Is Aadhaar mandatory for company registration?

PAN is mandatory for Indian directors and partners. Aadhaar is commonly used as identity proof but a passport, voter ID or driving licence can also be used. For a proprietorship's GST registration, Aadhaar authentication is part of the process.

Can I use my home address as the registered office?

Generally yes, with a recent utility bill and, if the home is rented or owned by someone else, a rent agreement and an NOC from the owner. Check any lease or housing society restriction on business use.

Do I need a DSC to register a proprietorship?

No. A proprietorship has no MCA incorporation, so no DSC or DIN is needed. DSCs are for MCA filings by companies and LLPs.

Who needs a DIN or DPIN, and how do I get it?

Every director of a company needs a DIN and every designated partner of an LLP a DIN or DPIN. New directors can usually apply inside SPICe+ or FiLLiP at the time of incorporation. Directors beyond the form's limit apply separately through DIR-3.

Which documents does the nominee in an OPC need?

The nominee provides PAN, identity proof, address proof and a signed consent in Form INC-3. The nominee's details are also entered in the SPICe+ application.
